E-SIGN, the Electronic Signatures in Global and National Commerce Act (15 U.S.C. §7001, et seq.) requires that you consent to entering into an electronic agreement with Professional Business Services ("PBS") before you execute the following online PBS Terms of Service Agreement and open your Online Client Service Account. Please read the following information carefully.

This E-SIGN Client Consent Disclosure addresses the circumstances under which you agree to: 1) transact business with PBS electronically; 2) use electronic signatures in your dealings with PBS; and 3) receive in electronic form information that PBS would otherwise be required to provide to you in writing.
This electronic record serves as your acknowledgment that you consent to use an electronic record of your agreement described online as the PBS "Terms of Service" instead of a paper contract outlining the PBS "Terms of Service." This consent will also cover your electronic communications with PBS. If you consent, Required Information can be displayed for you electronically, you may use electronic signatures to sign documents associated with your account and conduct business with PBS electronically. You will have the opportunity to print or save the Required Information and keep it for your records.

PBS needs your consent before delivering Required Information electronically. Your consent also: 1) permits PBS to send you other notices, disclosures or documents electronically in connection with your account; 2) constitutes your agreement to execute documents related to your account and purchase items online with an electronic signature; and 3) confirms your agreement to conduct transactions via electronic means.

During the online registration process you will be required to read and agree to the PBS Terms of Service in its entirety. PBS encourages you to print and retain these documents for future reference. Should you wish to obtain a printed copy of the Terms of Service you may download and print a PDF (Portable Document Format) version of the document from the PBS website or you may send a written request for those documents to: PBS, 8425 Beechmont Avenue, Cincinnati, Ohio 45255 or email info@probizservices.com. Your email request must include your name, your User ID, your mailing address, and your E-mail address. Please indicate "Online Document Request" in the subject line of the E-mail. Upon receipt of such a request, PBS will mail you the then current version of the Terms of Service. There is no charge for this service.

If you complete and consent to the online PBS Terms of Service Agreement, you agree that PBS may amend the same at its sole discretion at any time.

To access the documents that make up the PBS Terms of Service and to submit your consent to the online PBS Terms of Service Agreement, you will need the following hardware and software: A Personal Computer ("PC") with a modem or other internet access device, operational Internet browser software (such as Netscape Communicator or Internet Explorer), and Adobe Acrobat Reader. If you do not have Adobe Acrobat Reader, you may download it for free at: http://www.adobe.com/products/acrobat/readstep2.html.

PBS may, at its option, deliver Required Information or other documents on paper if it chooses to do so. PBS may also require that certain communications from you be sent to it on paper at a specified address.

You may withdraw your consent to the use of electronic records at any time and for any reason whatsoever. However, should you withdraw consent your Online Client Service Account will be terminated upon receipt of such a request and all future website transactions will be prohibited until such time as you once again provide consent.

To withdrawal your consent for the use of electronic records you must provide written notice to PBS indicating your intent to discontinue your Online Client Service Account. The written notice must also include the following: your signature, your printed name, address, phone number, and appropriate User ID number.

Should there ever be a change in the equipment or software necessary to access the electronic Terms of Service Agreement, PBS will advise you of the same and will provide you with a list of the equipment and software that is necessary. Upon such an event you may voluntarily terminate the Agreement.

By clicking on "I Agree" below, you (i) agree and consent to contract electronically with PBS to become a PBS Client; (ii) acknowledge that you are entering into a legal agreement and you intend to be legally bound by this electronic agreement; (iii) consent to the use of electronic records in connection with your transactions with PBS, including delivery of any required information; (iv) acknowledge that you have been able to read this notice using your computer and software; (v) acknowledge that you have successfully printed or downloaded a copy of this notice; (vi) acknowledge that you have access to an account with an internet service provider, and you are able to send and receive E-mail. If you click on "I Decline" below, this process of electronically completing your Online Client Account will be terminated.
